Terms of Service

Rules for using BinaxHub, subscriptions, acceptable use, data sources, and platform disclaimers.

These Terms of Service (“Terms”) govern access to and use of the BinaxHub website, platform, dashboards, and related services (the “Service”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a company or real estate agency, you confirm you have authority to bind that entity, and “you” refers to that entity.

1) Definitions

  • “BinaxHub,” “we,” “us,” “our” means the operator of the Service.
  • “Customer” means the company/agency that subscribes to the Service.
  • “User” means any employee, agent, contractor, or authorized person using the Service under a Customer account.
  • “Lead” means a contact or opportunity record created from Customer input or publicly visible sources for workflow use.
  • “Customer Content” means information, files, notes, and data submitted to the Service by Customers/Users.
  • “Third-Party Content” means content owned by others (e.g., listing sites, portals, marketplaces) that may be referenced or linked.

2) Scope and eligibility (B2B use only)

BinaxHub is a B2B platform for real estate agencies and agents. You must be authorized to use the Service for business purposes and you must ensure that your Users comply with these Terms.

3) What BinaxHub provides (and what it does not)

BinaxHub is an operational workflow tool that may include hot lead workflows (seller leads and buyer/tenant leads), CRM automation, call center tools, ERP-style management features, and AI-assisted automation. BinaxHub is not a real-estate marketplace, not a broker, and not an agent. We do not represent any seller, buyer, tenant, landlord, or agency in transactions, and we do not charge the public for access to the Service.

4) Accounts, access, and security

You must provide accurate registration details and keep them updated. You are responsible for all activity under your account, including actions by your Users. You must keep credentials confidential and promptly notify us if you suspect unauthorized use.

5) Subscriptions, fees, billing, and renewals

Some features require a paid subscription. Prices, plan limits, billing cycles, and included features are shown on the pricing page and/or your order form. Unless stated otherwise, subscriptions renew automatically until cancelled. Taxes may apply depending on your location.

If payment is overdue, we may suspend or limit access to the Service until amounts are paid. Cancellation takes effect according to your plan terms.

6) Acceptable use (no abuse, no illegal outreach)

You agree not to misuse the Service. You must not:

  • Use the Service for spam, harassment, fraud, deceptive outreach, or unlawful activity.
  • Violate privacy, marketing, telecom, or consent rules when contacting any lead by phone, SMS, WhatsApp, email, or other channels.
  • Attempt unauthorized access, disrupt the Service, probe for vulnerabilities, or overload the platform.
  • Upload malware, harmful code, or content that infringes rights.
  • Copy, reverse engineer, resell, sublicense, or provide the Service to third parties unless explicitly permitted in writing.

7) Leads, public sources, and third-party rights

BinaxHub may help Customers discover and manage leads created from Customer form submissions and from publicly visible information on third-party websites. We do not own third-party listings, photos, or descriptions. Rights remain with their owners. Where applicable, BinaxHub provides a direct link to the original listing so Users can verify details at the source.

If you are a rights holder or website operator, you may request removal or suppression as described in our Data Sources & Rights Notice and/or our IP/Takedown policy.

8) AI-assisted features

If the Service includes AI-assisted features (such as summaries, prioritization, or workflow suggestions), outputs are provided for informational purposes only. You are responsible for reviewing outputs and making decisions. AI outputs may be incomplete, inaccurate, or outdated.

9) Customer Content and license

Customers retain ownership of Customer Content. You grant BinaxHub a limited license to host, process, transmit, and display Customer Content solely to provide, secure, maintain, and improve the Service and to comply with legal obligations. You confirm you have the rights to submit and process Customer Content, including any personal data, and that required consents have been obtained.

10) Privacy and data protection

Our Privacy Policy explains how we handle personal data. If a Data Processing Addendum (DPA) applies to your subscription, it governs how we process personal data on your behalf.

11) Third-party services and integrations

The Service may integrate with third-party services (telephony/VoIP, email, messaging, analytics, maps, etc.). Your use of third-party services is governed by their terms and policies. BinaxHub is not responsible for third-party services.

12) Service availability and changes

We may update, modify, or discontinue parts of the Service and may perform maintenance that temporarily limits access. We do not guarantee uninterrupted availability.

13) Intellectual property

BinaxHub and its software, UI, branding, and documentation are owned by BinaxHub or its licensors and are protected by applicable law. You may not copy, reverse engineer, or create derivative works from the Service except as permitted by law.

14) Suspension and termination

We may suspend or terminate access if you violate these Terms, create legal/security risk, or if payments are overdue. You may cancel according to your subscription terms. Sections relating to fees due, IP, disclaimers, and liability limits survive termination.

15) Disclaimers

The Service is provided “as is” and “as available.” We disclaim warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Third-party listing information may be inaccurate, incomplete, or outdated.

16) Limitation of liability

To the maximum extent permitted by law, BinaxHub will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business. BinaxHub’s total liability for any claim relating to the Service is limited to the fees paid to BinaxHub in the three (3) months before the event giving rise to the claim, unless a higher amount is required by law.

17) Indemnity

You agree to defend and indemnify BinaxHub from claims arising out of your use of the Service, your Customer Content, your communications with leads/clients, or your violation of law or third-party rights.

18) Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on our website or within the Service. Continued use after changes means you accept the updated Terms.
